Capital Stock Information
State filing fee is based on the value of the total number of authorized shares stated in the Articles of Incorporation. For the purpose of computing the filing fee, the value (capital) represented by the total number of shares authorized in the Articles of Incorporation is determined by computing the:
A. total authorized shares multiplied by their par value or;
B. total authorized shares without par value multiplied by $1.00 or;
C. the sum of (a) and (b) above if both par and no par shares.
Filing fees are calculated on a minimum par value of one-tenth of a cent (.001), regardless if the stated par value is less.

Shares of stock are an ownership interest in a corporation.
For-profit corporations must have stock. Par value is simply the lowest price at which a share of stock can be sold. Stock must be sold for at least this value, or the owner of the stock can face liability. With low par value stock or no par value stock, this liability is minimized. The par value has nothing to do with the actual value of the stock. The actual value would be determined by fair market value (what someone is willing to pay for the stock) or book value (an accounting method looking at assets less liabilities = value of equity).
